Position Summary
We are seeking a talented and experienced Mid-Senior-Level Associate Attorney to join our Banking + Finance Practice Group. This position offers an exciting opportunity to work on cutting-edge private credit transactions and collaborate with a team of accomplished professionals in a dynamic and innovative environment.
Job Description
Advise and represent direct lenders, private credit funds, institutional investors, and investment banks in a variety of corporate finance transactions. Structure, draft, and negotiate documentation for leveraged buyouts, acquisition financings, recapitalizations, and other complex private credit transactions. Handle first lien, stretch senior, second lien, and subordinated loan transactions, as well as structured equity investments and non-traditional preferred stock financings. Provide strategic counsel on equity co-investments and other complex financing structures. Collaborate closely with clients and interdisciplinary teams to ensure the successful execution of transactions. Conduct legal research and provide advice on compliance with applicable laws and regulations. Maintain up-to-date knowledge of industry trends, market practices, and legal developments affecting private credit and corporate finance. Qualifications
Juris Doctor (JD) from an accredited law school with a strong academic background. Admission to the New York Bar is required. At least 3 years of corporate legal experience, with significant exposure to private credit transactions. Demonstrated expertise in structuring and executing complex financial transactions, including first lien, and second lien loans, subordinated debt, and structured equity investments. Strong oral and written communication skills, with a meticulous attention to detail. Ability to manage multiple priorities in a fast-paced, deadline-driven environment. Proven track record of delivering high-quality client service and building strong client relationships.
