Job Overview:
A top-tier law firm is seeking an associate to join its highly regarded Debt Finance Practice Group. This position offers the opportunity to work on sophisticated financing transactions, including leveraged buyouts, acquisition financings, and complex capital structures. The ideal candidate will have experience representing borrowers and/or lenders in secured and unsecured transactions and a strong interest in the private equity space.

Duties:
Structure, document, and negotiate secured and unsecured financing transactions
Advise on senior secured, mezzanine, and subordinated debt arrangements
Lead or support acquisition financings and recapitalizations
Assist in restructuring and loan workout matters
Draft and review credit agreements, security documents, and intercreditor agreements
Work closely with private equity clients and corporate borrowers in various industries
Collaborate with internal teams and external stakeholders to manage deal execution
Requirements:
2–6 years of experience in debt finance or related practice areas
Familiarity with acquisition financing, leveraged lending, and capital structure strategy
Experience representing private equity sponsors and/or financial institutions preferred
Background in large-scale, fast-paced deal environments is advantageous
Education: Juris Doctor (JD) from an accredited law school with strong academic performance
Certifications: Admission to the bar in at least one U.S. jurisdiction
Skills:
Exceptional drafting and negotiation skills
Strong commercial understanding of lending and financing structures
Excellent organizational and multitasking abilities
Capable of managing multiple matters under tight deadlines
Effective communicator with clients, co-counsel, and counterparties
