Base pay range
$130,000.00/yr - $150,000.00/yr
The primary focus of the Corporate Counsel is to manage the legal aspects of complex business and real estate transactions for Schafer Richardson and Schafer Richardson Realty Trust, Inc. (collectively, the “Company”). This position will negotiate critical contracts, commercial leases, operating/joint venture agreements, and financing agreements for the portfolio. Essential Duties and Responsibilities
Commercial Leasing and General Real Estate Contracts:
Review, negotiate and draft commercial leases, easements, license agreements, guaranties, management agreements, service agreements, listing agreements, escrow and disbursing agreements, tenant financing waivers, tenant estoppels, subordination agreements, and all other types of real estate related contracts. Property Acquisitions and Dispositions:
Coordinate and manage the closing of real property acquisitions and sales. Review, negotiate and draft purchase agreements, closing documents, closing statements, title commitments, survey reviews, and pro-forma title policies. Prepare pre-closing and post-closing acquisition/sale checklists and monitor items for timely completion. Manage real estate deliverables for debt/equity financings, including title curative efforts, acquisitions, and sales. Conduct real property due diligence for transactions and development projects. Manage outside counsel, title insurance and surveyor relationships. Assist real estate and development team with in-depth due diligence for real estate transactions. Corporate Governance:
Set up various entities and provide legal advice on operating agreements, joint venture agreements and partnership agreements. Assist with the legal implications of adding additional entity members. Provide advice and perform research on governance matters related to secured transactions, acquisitions and dispositions of securities, and assist in the legal governance of a real estate investment trust. Corporate Compliance:
Prepare corporate documents and agreements; oversee compliance matters and complete corporate record keeping. Develop and implement internal legal policies and training programs. Perform legal research on a variety of matters. Manage Outside Counsel:
Manage external legal counsel. Assist and supervise in various legal projects utilizing outside counsel. Litigation Management and Dispute Resolution:
Commence and prosecute commercial unlawful detainer actions. Draft demand letters for delinquent tenants and assist with collections. Monitor the status of litigation matters handled by outside attorneys. Knowledge, Skills and Other Abilities
Attend meetings with internal groups and assist in the preparation of agreements. Ability to interface with senior-level business leaders, and to work independently and collaboratively with all departments within the organization. High degree of professionalism and exceptional leadership, management, and collaboration skills. Ability to communicate and negotiate skillfully at all levels inside and outside of the organization. Strong problem-solving and creative skills. Outgoing, straightforward, self-assured, and willing to share information, listen actively, and respect others’ abilities. Reliable judgment on when to seek guidance or subject matter expertise; self-motivated with independence in decision-making. Detail oriented with good analytical skills and the ability to advise a diverse range of clients. High level of integrity and dependability; highly organized and able to prioritize and process a high volume of work while meeting deadlines. Experience/Education Requirements
Four (4) to six (6) years law firm or a combination of law firm/corporate law experience including exposure to sophisticated corporate/partnership law. Extensive experience in commercial real estate and financing transactions. Experience managing multiple real estate and development transactions with little required oversight in a fast paced, high growth, and dynamic organization. Law Degree and license to practice in Minnesota, or the ability to obtain, required. Additional Experience: preferred but not required
License to practice in Nebraska or Missouri in addition to Minnesota. Experience with the development of real estate projects. Familiar with property tax appeals. Experience with construction agreements and activities. Travel
