Corporate Attorney (Full-Time) ( Hybrid in FL, MD, NJ, NY, TX, DE)

Location: Hybrid schedule in either of the following states (FL, MD, NJ, NY, TX, DE) Salary: $240K - $315K Base Salary

Must Haves: J.D. degree from an accredited law school. Admission to the bar in [relevant jurisdiction]. [3–6+] years of experience in a law firm or sophisticated in-house legal department focusing on corporate and transactional work. Experience with

M&A, fund formation, securities, or finance

is strongly preferred.

Job Overview:

We seek a highly motivated and commercially minded

Corporate Attorney

to join our dynamic legal team. The ideal candidate will have experience advising clients on corporate and transactional matters, including mergers and acquisitions, private fund formation, capital raising, corporate governance, and/or finance and securities law. This role requires strong technical skills, sound business judgment, and the ability to work directly with clients in a fast-paced, collaborative environment.

Key Responsibilities:

Joint ventures, restructurings, and other complex business transactions.

mergers ,

acquisitions Advise clients on drafting, reviewing, and negotiating

transactional documents , including purchase agreements, operating/shareholder agreements, disclosure schedules, and ancillary contracts. Assist in

forming, structuring, and operating

investment funds, including private equity, venture capital, and hedge funds. Provide counsel on

securities law compliance , including private placements, Regulation D offerings, and SEC reporting obligations. Support clients with

debt and equity financings , including credit agreements, promissory notes, and security documentation. Conducted legal

due diligence , managed deal timelines, and coordinated with opposing counsel and internal teams. Advise on

corporate governance

and general business law matters.

Qualifications:

J.D. degree from an accredited law school. Admission to the bar in [relevant jurisdiction]. [3–6+] years of experience in a law firm or sophisticated in-house legal department focusing on corporate and transactional work. Experience with

M&A, fund formation, securities, or finance
