Overview This role is an entry-level Corporate Counsel position responsible for a variety of legal, contract and litigation matter support for the company. The right candidate for this position will have at least one year of experience (preferably in-house) in commercial contracts, corporate law, or commercial litigation. This individual is a highly driven, hardworking, collaborative, business-minded attorney who will embrace the ability to support the company’s growth, in coordination with the company’s global in-house attorneys.
Responsibilities Dispute Resolution and Litigation Management and Avoidance
Interface with customers, vendors, partners, and other stakeholders in order to explain the company’s position, broker an amicable resolution of disputes and avoid litigation where possible
Support pre-litigation dispute resolution and ensure necessary records and information are maintained to protect the company’s interests in the event of litigation
Collaborate with global legal team, prepare, review and/or revise all pleadings, discovery, motions, and settlement agreements
Represent the company in depositions, mediations, hearings, and trials as directed
Contracts and Drafting
Prepare and negotiate agreements with clients, employees, independent contractors, vendors, and partners
Draft and update the company’s policies, procedures, and SOPs
Corporate Governance and Regulatory Reporting
Assist in preparation and review of company public disclosures, including press releases, annual reports to shareholders, earnings releases, and analyst presentations
Assist in enterprise-wide risk management process to ensure compliance with applicable laws
Support protection of trademark, copyright and trade secrets, and perform/oversee research related to intellectual property issues and assists in enforcement compliance
Assist in the preparation and filing of visa applications to support the company’s operations
Perform research and analysis on various legal issues affecting the corporation and its subsidiaries
Coordinate and effectively communicate with other leaders and departments within the company to accomplish the legal department’s objectives
Qualifications
Required Knowledge, Skills and Abilities:
Strong independent critical thinking skills and ability to focus on details
High-level analytical and research skills required
Ability to interact effectively with other employees, clients, management, and outside legal counsel
Ability to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-dimensional projects in a fast-paced environment
Proficient with Microsoft Office Suite or related software
Education and Experience
Juris Doctor degree from an accredited institution
Admitted to practice in at least one state, Florida or New Jersey preferred
Prior experience with commercial litigation or regulatory healthcare preferred
Prior experience with healthcare / technology law preferred
Strong computer background (Word, Excel and PowerPoint)
Work Location:
In-office, 5 days per week – CareCloud’s office in Miami, FL
Travel Requirements:
up to 5%
Physical Requirements:
Prolonged periods of sitting at a desk and working on a computer
Must be able to lift up to 20 pounds at times
Ability to speak with the Board, investors, banks, and other stakeholders
