Position Overview
The Corporate Counsel will serve as a trusted legal advisor to the company, providing counsel on a broad range of corporate, commercial, and compliance matters. Reporting directly to the General Counsel, this role requires a business-minded attorney who can balance legal risk with strategic objectives, deliver practical advice, and build strong cross-functional partnerships. Key Responsibilities
Commercial Contracts: Draft, review, and negotiate a wide range of agreements, including MSAs, customer agreements, NDAs, licensing agreements, and distributor arrangements. Regulatory & Compliance: Ensure company policies and practices comply with federal, state, and international laws; assist with compliance programs, training, and audits. Cross-functional Support: Collaborate with business teams—including Finance, HR, Compliance and Operations—to deliver timely, practical legal advice. Risk Management: Identify and mitigate potential legal risks affecting the business and recommend proactive strategies. Mergers & Acquisitions: Support due diligence, transaction structuring, and integration of acquisitions as needed. Employment & HR Support: Provide guidance on employment matters, internal policies, and dispute resolution (in partnership with HR). Intellectual Property: Oversee protection of company IP, coordinate with external counsel on filings, and advise on IP strategy. Dispute Resolution: Manage pre-litigation disputes and coordinate with outside counsel on litigation or arbitration. Qualifications
Juris Doctor (JD) degree from an accredited law school and active membership in good standing with at least one U.S. state bar. 4+ years of relevant legal experience in a corporate legal department or reputable law firm (in-house experience preferred). Strong background in corporate law, commercial contracts, and compliance. Excellent analytical, communication, and negotiation skills with a pragmatic approach to problem-solving. Ability to manage multiple projects simultaneously in a fast-paced environment with minimal supervision. High ethical standards, sound judgment, and a collaborative mindset. Preferred Skills & Experience
Experience in technology, manufacturing, or other industrial sectors. Familiarity with data privacy, cybersecurity, or international regulatory frameworks. Comfort working in a global organization with cross-border transactions. Seniority level
