Position

The Assistant General Counsel works with the General Counsel on legal projects involving commercial real estate transactions, primarily acquisitions, leases, title and survey reviews, loans, easements and dispositions. The Assistant General Counsel drafts various real estate documents for review by the General Counsel and reviews and revises real estate documents drafted by paralegals. In addition to those primary duties, the individual also assists on a variety of other tasks, including compliance and risk management, litigation support, negotiations and vendor agreements. Responsibilities

Prepare drafts of various documents for real estate transactions, including purchase agreements, loan documents, title documents, leases, easements, restrictive covenants, escrow agreements, development agreements and construction agreements. Review title documents and surveys to identify potential title issues and prepare Title Issues Checklists and Title Objection Letters. Review title documents (association by-laws and covenants, conditions and restrictions (CC&Rs), easements, maintenance agreements, etc.) to identify development and construction limitations and requirements, approval requirements, maintenance obligations and financial obligations. Assist General Counsel in preparing and updating a library of legal forms, reviewing and organizing other company contracts and documents as well as other legal projects in the areas of real estate, construction law and employment law, as needed. Review and negotiate loan documents. Assist General Counsel in management of real estate closings. Work with company staff and outside counsel on transactions, legal documentation and other responsibilities. Perform legal research as directed internally by the General Counsel. Draft, review and negotiate vendor agreements and client engagement documents such as confidentiality and non-disclosure agreements, engagement letters and reports, engineering and architectural contracts, and listing agreements. Perform periodic litigation support, including drafting responses to subpoenas and document discovery. Assist with compliance and other risk management matters. Keep informed of any new laws, regulations, and industry trends that could affect the company, and proactively identify potential company risks and cost-conscious mitigating actions. Other duties as required. Qualifications

Minimum of five years’ experience in commercial real estate transactions. JD degree, licensed to practice law, and in good standing in at least one state. Experience with real estate transactions, including purchases, sales and leases of commercial real estate. Excellent oral and written communication skills, including the ability to communicate detailed and complex information to others. Strong organizational and time management skills, including the ability to organize self and others. High level of accuracy, attention to detail and excellent proofreading skills. Ability to work well under pressure, in a dynamic environment, including responding to urgent situations as needed, prioritizing multiple business objectives and meeting deadlines and milestones for projects assigned. Possess characteristics such as diligence, integrity, professionalism, accountability and proactiveness in resolving issues. Strong ability to develop and maintain relationships internally, as well as a strong ability to partner with advisors, consultants, attorneys, and regulators.
