We are seeking a Business Advisory & Transactional Attorney with strong technical skills and a client-first mindset to handle a wide range of complex deals, advising on ownership and governance structures, and helping clients navigate pivotal business decisions. This role balances detailed legal work with meaningful client interaction. The ideal candidate will have a strong background in business transactions and corporate governance. This role requires both technical precision and the ability to communicate persuasively with clients, opposing counsel, and stakeholders. What We’re Looking For

Advise clients on business formation, restructuring, and dissolution. Draft, review, and negotiate core corporate documents, including operating agreements, shareholder agreements, bylaws, and buy-sell agreements. Handle mergers, acquisitions, divestitures, and sales of business assets. Counsel boards of directors and executives on governance and fiduciary responsibilities. Guide clients through ownership transitions, capital restructuring, and partner exits. Provide strategic legal advice on franchising and related business model decisions. Collaborate with clients and internal teams to ensure accurate, timely execution of transactional matters. Common Matter Types

Starting, restructuring, or dissolving a company Mergers, acquisitions, or sale of business assets Drafting and negotiating governance and ownership documents Board of directors and governance matters Ownership disputes, changes in control, and capital restructuring Franchising matters Skills, Knowledge And Expertise

Juris Doctor (JD) from an accredited law school and active membership in the Florida Bar Minimum of five (5) years of experience in business transactions, corporate law, or M&A Proven ability to draft precise, reliable transactional documents Strong organizational skills with the ability to manage multiple deals and deadlines simultaneously Excellent communication skills with the ability to advise and persuade diverse stakeholders Preferred Qualifications

Experience with mid-market mergers and acquisitions Familiarity with multistate or cross-border transactions Background in advising privately held or family-owned businesses on governance and succession issues Benefits
