POSITION SUMMARY:
The Deputy General Counsel will assist the General Counsel in managing the Organization’s day-to-day legal affairs, oversee attorneys (field and headquarters) and assist in providing legal advice to the Organization. He or she will ensure that there are effective and efficient legal policies and procedures in place and that training is provided to ensure that the legal policies are well understood and respected by employees, volunteers, consultants, vendors and partners. The Deputy General Counsel will develop and oversee a process to routinely and consistently monitor and assess whether the Organization is complying with all applicable country, state and local laws rules and regulations.
Responsibilities include:
Manage Project HOPE’s world-wide legal matters with guidance from the General Counsel; monitor day-to-day legal operations and help drive strategy
Day-to-day management of in-house legal counsel and law department staff when applicable
Keep General Counsel informed of important legal matters
Promote a culture of integrity and transparency
Work closely with the Chief Compliance Officer to encourage employees to follow the highest standards of ethical conduct and voice any concerns about perceived legal or ethical issues to the General Counsel, Chief Compliance Officer, or if required, the Chair of the Audit Committee of the Board of Directors
Coordinate client relations specific to legal matters and advise second layer of Organizational leadership, including providing advice and counsel to HR management on employment issues
Implement legal policies to ensure compliance with U.S. tax exempt, anti bribery, sanction, export control, and other laws, rules and regulations applicable to a U.S. public charity working globally
Monitor U.S. and field attorneys (internal and external) to ensure policies, procedures and practices are in compliance with local legal laws
Ensure regulatory compliance with doing business and other registration requirements in the U.S. and other countries where Project HOPE operates or seeks to operate
Interpret laws, rules and regulations and determine how they apply to Project HOPE
Implement internal legal operating standards, including standards for intellectual property protection, enforcement of trademarks, and protection of confidential information
Implement and monitor contract review process and, as required, draft, negotiate and/or review contracts, agreements, donor awards, and memorandum of understanding and other transactions in accordance with the Legal Policy
Create and communicate periodic legal training sessions and Department educational materials and participate in creating and conducting mandatory training initiatives in collaboration with the Chief Compliance Officer
Monitor and analyze activities of all functions across the Organization and advise General Counsel on emerging regulatory and legal risks and trends
Represent the Legal Department at organizational and sector meetings and events
Other duties as assigned
MINIMUM QUALIFICATIONS
Required:
Juris Doctorate from an accredited law school
Licensed to practice in Washington DC
Trustworthy, reliable and candid
Demonstrated capacity to exercise good judgment with regard to legal issue identification and escalation
High level of professionalism
Minimum of eight to ten year’s attorney experience, preferably in a global non-profit or corporate legal setting; international transactional experience a plus
Strong leadership and organizational skills
Prior experience with Tax Exempt Organization issues, cross border transactions, and managing complex legal structures strongly desired
Prior experience with intellectual property issues a plus
Excellent English verbal and written communications skills
Proficiency in MS Office
Ability to travel domestically and internationally 15%+ of the time

Salary range starting at $183,000 USD per year based on candidates residing in the US.
