Summary Position Highlights: The Assistant General Counsel I, Corporate provides legal advice and counsel to Moffitt management and staff and is responsible for, but not limited to, the following: Assists in protecting Moffitt's legal interest in maintaining its operations in compliance with the law. Provides legal advice and counsel to management and staff and oversees negotiation in support of corporate activities of the organization. Assists Moffitt leadership with formulating strategies for creating complex business arrangements to support Moffitt’s growth efforts and identifies potential legal issues regarding proposed business models. The Ideal Candidate: Preferred candidate will have experience drafting and negotiating complex agreements on a variety of corporate transactions including joint venture agreements, strategic collaborations, mergers and acquisitions, equity and debt financings and tax-exempt bond offerings. Preferred candidates would have also experience working with emerging companies and startups, particular in the life sciences and digital health sectors, including entity formation and corporate governance documents, operating and shareholder agreements, employment contracts and equity incentive plans. Ability to effectively analyze and interpret general business contracts, professional agreements, technical procedures, or governmental regulations. Experience in both for-profit and not-for-profit corporate governance. Experience drafting reports, business correspondence and procedure manuals. Effectively communicate with internal stakeholders and external parties. Possess the skills to analyze and resolve issues using a risk-based approach to achieve clients’ business objectives. Responsibilities: Provide legal advice regarding matters in areas of assigned responsibility including corporate. Provide hands-on legal counsel to all levels of management. Provide legal advice on extremely complex and multifaceted problems in which analysis of solutions require evaluation organizationally acceptable risks and other intangible variables. Identify potential legal issues regarding proposed business models. Identify and analyze legal issues, drafting key documents, presenting clear recommendation and assuring legal compliance. Effectuate contract negotiation and regulatory compliance. Initiate routine meetings with departmental leaders. Prepare, review and negotiate other business transactions. Direct and participate in the research of state and federal legislation and administrative and court decisions; investigate legal problems and make recommendations. Assist OGC in preparing, circulating and filing legal opinions, contracts, corporate and other legal documents, including the preparation and submission of government reports, annual corporate reports and related filings. Provide legal advice and negotiate finance transactions, including commercial financial transactions and tax-exempt bonds. Provide legal advice and negotiate equity and other complex investment transactions. Support strategic initiatives of the VP/ Deputy General Counsel and EVP/ General Counsel. Assist Moffitt leadership with formulating strategies for creating complex business arrangements to support Moffitt's growth efforts. Keep current on new and emerging laws and policy developments impacting Moffitt's operations. Assist supported departments with their efforts to prepare, negotiate and finalize related policies, procedures and agreements. Assist in protecting Moffitt's legal interest in maintaining its operations in compliance with the law. Institutional Leadership Participates in a variety of Center and/or community committees as requested. Maintains professional affiliations and enhances professional growth and development. Credentials and Qualifications: Juris Doctor required. This individual must be licensed to practice law in the State of Florida and have a minimum of 5-7 years’ experience practicing law, providing legal guidance, and/or directly relevant experience in a related profession, with a minimum of 3-5 years’ experience with complex corporate transactions in a highly regulated industry, compliance, and/or related regulatory matters. ** Must possess State Bar license; does not have to be a Florida Bar member.** Excellent negotiating, policy drafting, interpersonal, business, contract drafting, and writing skills are required. Demonstrated knowledge of laws and regulations relevant to Florida academic medical centers and life sciences research centers. Preferred Experience Bachelor's degree in a relevant field is a plus. Finance or business experience preferred. Knowledge of health care laws and regulations a plus. Prior experience working in not-for-profit corporate governance or tax-exempt bond financing a plus. Experience supervising and managing teams of attorneys, paralegals and support staff for maximum efficiency is preferred.
