Essential Duties and Responsibilities
Contract Drafting and Negotiation:
Prepare, review, and negotiate a wide range of commercial agreements, including customer and vendor contracts, consulting agreements, license agreements, confidentiality/non-disclosure agreements, joint venture agreements, and more. Government and Defense Contracting:
Provide legal support and strategic counsel on all aspects of government and defense contracting, including federal, state, and local procurement. This includes advising on bid and proposal strategies, contract negotiation and administration, regulatory compliance (including FAR, DFARS, ITAR, and other defense-related frameworks), and risk mitigation. The Corporate Attorney will ensure adherence to applicable laws and regulations, support audits and investigations, and collaborate with internal teams to structure compliant and competitive offerings. Familiarity with international public sector and defense procurement frameworks is a plus, given the company’s global footprint. Corporate Governance:
Support executive leadership on corporate governance best practices. Draft resolutions, maintain corporate records, and ensure compliance with applicable laws and regulations. Work with Tax and Finance Departments and other business leaders on matters impacting the organizational structure of the company and its subsidiaries. Mergers and Acquisitions:
Advise on the legal aspects of mergers, acquisitions, divestitures, and other strategic transactions. Conduct due diligence, draft and review transaction documents, and facilitate closing processes while ensuring regulatory compliance and risk management. Assist with and guide integration activities for newly acquired businesses. Employment Law:
Provide legal counsel (including document preparation) on employment matters, including hiring policies, terminations, workplace investigations, disciplinary actions, regulatory compliance, employee benefits, and labor relations. Risk Management and Compliance:
Identify, assess, and manage legal and ethical risks to the business. Work with business leaders to conduct compliance risk reviews and to develop/implement compliance policies and programs relating to all areas of risk and ethical business practices, including codes of conduct, data privacy, anti-bribery, anti-money laundering, harassment and other compliance considerations. Conduct periodic training for staff and management on legal and compliance matters. General Corporate Legal Issues:
Advise on day-to-day operations and new business initiatives, ranging from real estate transactions, marketing, import/export compliance, supply chain and other matters. Monitor changes in the law and industry standards to ensure the company operates in accordance with best practices. Stakeholder Collaboration:
Work closely with Business Development, Human Resources, Finance, IT, Marketing, Procurement and executive leadership to provide pragmatic legal guidance that supports strategic objectives. External Counsel Management:
Liaise with outside law firms as needed, manage legal budgets, and ensure the company receives cost-effective, high-quality legal services. Qualifications

Juris Doctor (JD) degree from an accredited law school Active license to practice law and in good standing with the relevant bar association(s) Minimum of 3–5 years’ experience in corporate law, with demonstrable expertise in contracts, government contracting and corporate and subsidiary governance. Experience in a law firm or corporate legal department is strongly preferred. Knowledge of federal, state, and local regulations governing business operations Exceptional drafting, negotiation, and analytical skills Demonstrated ability to manage multiple projects simultaneously and meet deadlines Excellent communication and interpersonal skills, with the ability to convey complex legal concepts to non-legal audiences Strong judgment and business acumen, with a proactive and solution-oriented mindset High ethical standards and commitment to integrity Technical Skills/Physical Requirements
Experience with international transactions and cross-border regulatory issues Familiarity with employment matters, real estate, and mergers and acquisitions. Background in handling compliance programs and workplace investigations Ability to thrive in ambiguous or evolving business environments Prior experience managing outside counsel and legal budgets Language skills or multicultural experience considered an asset in global organizations Working Environment:
