This role involves managing leveraged buyouts, restructuring, working capital facilities, and liability management transactions. Duties Lead drafting and negotiation of credit agreements and indentures for private equity sponsors and other borrowers. Draft and negotiate security agreements, guarantees, and intercreditor arrangements for secured financings. Review and negotiate financing-related provisions of acquisition agreements. Conduct legal diligence on potential targets' indebtedness for M&A transactions. Coordinate closing of financing transactions with clients, counterparties, and advisors. Advise clients on compliance obligations related to credit facilities and indentures. Requirements JD, LLM, or foreign equivalent. Four years of experience as an Associate or in a related occupation. Admitted to practice law in the State of New York. Education Juris Doctor (JD) or Master of Laws (LLM). Certifications Licensed to practice law in New York. Skills Proficient in drafting and negotiating complex legal documents. Strong coordination and communication skills. Experience in leveraged financing transactions.
