Overview

Senior Corporate Counsel, Strategy, Securities, Governance & Purpose Law (Senior Director) – Princeton, New Jersey. The role provides legal counsel relating to corporate governance, securities compliance, and disclosure matters for a public company, advises the enterprise strategy team on key risks, and supports special projects for the Purpose team. This position supports key governance functions and SEC-related activities, ensuring compliance and advising senior leadership. Responsibilities

Provide legal guidance on corporate governance and securities law compliance for a public company. Support SEC filings, including Forms 10-K, 10-Q, 8-K, Schedule 14A, Schedule 13D/G, Forms 3 and 4, and investor disclosures. Support Sustainability and Social Impact team and advise on ESG-related disclosures internationally. Support annual reports, presentations and shareholder engagement processes. Advise on corporate finance transactions, including securities offerings, debt/equity repurchases, and credit agreements. Assist with subsidiary governance, legal entity structure, and corporate policies. Advise Enterprise strategy team to mitigate key risks and drive execution of the company\'s strategy. Collaborate with senior leadership, finance, and legal teams to align governance strategy with regulatory obligations. Qualifications & Experience

10+ years of experience in corporate governance, securities and finance law at a law firm and at a public company. J.D. from an accredited U.S. law school and license to practice law in the U.S. Expertise in U.S. Securities and Exchange Commission (SEC) reporting requirements and governance principles, with strong preference for experience interpreting and applying Delaware General Corporation Law. Strong judgment, execution, communication, and cross-functional collaboration skills. Experience supporting senior leadership and corporate transactions. Compensation & Benefits

The starting compensation range for this role is $250,240 – $303,232 (full-time employee). Additional incentive cash and stock opportunities may be available. Final, individual compensation will be decided based on demonstrated experience. Eligibility for benefits varies by location and role.
