A leading AmLaw firm is seeking an Associate to join its
Debt Finance practice
in Ohio. The group represents arrangers, agents, lenders, and borrowers in connection with a wide array of syndicated and bilateral credit facilities. The team regularly advises on secured term loans, cash flow and asset-based revolving facilities, leveraged acquisitions, first lien, second lien, and unsecured financings. Associates gain direct experience drafting, reviewing, and negotiating complex loan documents, and managing high-profile closing processes for substantial clients, including debt funds, banks, private equity sponsors, and middle-market companies. Requirements
Juris Doctor (JD) degree from an accredited law school Admission to the Ohio State Bar, in good standing 3–6 years of legal experience in debt finance transactions Experience representing arrangers, agents, lenders, and borrowers in syndicated and bilateral credit facilities Experience drafting, reviewing, and negotiating loan and security documents (credit agreements, guarantees, intercreditor agreements, subordination agreements, promissory notes, fee letters, commitment letters, term sheets, amendments) Familiarity with UCC Article 9 and relevant elements of UCC Article 8 Experience negotiating and obtaining third-party deliverables (control agreements, bailee waivers, credit card processing agreements, insurance endorsements) For candidates with more than 4 years’ experience: familiarity with drafting and negotiating legal opinions and handling opinion diligence Knowledge of secured lending transactions, including middle-market, venture-stage, and investment-grade financings Ability to organize and manage complex closing processes Experience conducting diligence on debt finance transactions (searches, organizational documents, disclosure schedules) Strong legal research, drafting, and negotiation skills Ability to collaborate effectively with clients and colleagues across practice groups Compensation
Salary Range:
