We are seeking a talented and experienced

lateral corporate attorney (senior associate or junior partner)

to join our practice. This role focuses on complex transactional work for high-net-worth families and their businesses. Responsibilities include: Lead and support major transactions including company sales, mergers & acquisitions, and restructurings (including multi-billion-dollar transactions with intricate ownership structures) Design and implement sophisticated holding company structures with multiple classes of units, various layers of ownership, and complex governance arrangements Draft and negotiate complex buy-sell agreements, operating agreements, shareholder agreements, and other governance documents Provide strategic counsel to family offices, including entity formation, investment structures, deal flow transactions, and organizational restructuring projects Support clients with real estate entity formations, investment structures, and related financing transactions Review and approve corporate documents prepared by paralegals including formation documents, operating agreements, purchase and sale agreements, recapitalizations, and corporate reconstructions Develop innovative solutions for ownership restructuring, tax-efficient structures, and complex family business challenges What You Will Need

Juris Doctor (JD) degree from an accredited law school Active license and in good standing to practice law in any U.S. jurisdiction 6-8+ years' experience in corporate/transactional law in a law firm environment Strong expertise in:

Complex M&A transactions and deal structuring Multi-layered entity structures and governance Income tax considerations in transaction planning Corporate document drafting and negotiation

Ability to manage multiple complex transactions simultaneously Excellent analytical, communication, and interpersonal skills Attention to detail and ability to review technical corporate documents What Would Be Nice To Have

Family office experience and understanding of ultra-high-net-worth client needs Experience with closely held business transactions and restructurings Background in handling large-scale transactions ($100M+) Creative thinking abilities for developing innovative structural solutions Experience managing and mentoring paralegals Why Join Harrison LLP?
