Position Summary
We are seeking a highly determined and experienced
Associate General Counsel
to join a motivated team. This role offers a clear path to promotion to
General Counsel
and provides the opportunity to work closely with executive leadership on a wide range of legal and strategic matters. The ideal candidate will bring deep experience in
mergers and acquisitions ,
real estate transactions , and
corporate law , and will play a key role in supporting the company's continued expansion.
Key Responsibilities
Lead and support
M&A transactions , including due diligence, deal structuring, negotiation, and integration.
Provide legal counsel on a broad spectrum of
corporate matters , including governance, compliance, and risk management.
Manage
real estate transactions , ensuring compliance with zoning, permitting, and environmental regulations.
Draft, review, and negotiate
bank credit agreements
and other financial instruments.
Advise on
employment law
issues and internal policy development.
Review and negotiate
commercial contracts
with vendors, customers, and partners.
Collaborate with internal stakeholders including the General Counsel, CFO, and division leaders to support business operations and strategic initiatives.
Coordinate with local counsel across multiple jurisdictions to ensure compliance with state and federal regulations.
Qualifications
10+ years
of experience in corporate law, either in-house or at a law firm.
Demonstrated expertise in
M&A .
Strong background in
contract negotiation and drafting ,
real estate law ,
environmental compliance , and
employment law .
Admission to (or eligibility for admission to) the Massachusetts Bar.
Proven ability to manage multiple priorities and work collaboratively with cross-functional teams.
Excellent communication, analytical, and problem-solving skills.
Experience in the
construction, infrastructure, or manufacturing sectors
is a plus.
