$45.00/hr – $50.00/hr Our client, a leading national homebuilder, is seeking a Senior Corporate Paralegal to join their Miami office. This role will support the Legal Department in managing complex corporate governance, compliance, and entity formation matters. Job Function
Manage document preparation, entity formation, and dissolution. Obtain certificates of good standing and corporate documents, and confirm director and officer structures for multiple subsidiaries. Conduct detailed reviews of corporate documents for litigation, mergers and acquisitions, and other purposes, ensuring accuracy and compliance. Prepare and file annual reports and other required state or county documents, including amendments and updates. Oversee entity name changes, officer elections, and execution of corporate resolutions and certificates of incumbency. Assist in due diligence for financings, mergers, acquisitions, or other projects, including preparing and reviewing data room documents. Review and approve third‑party vendor invoices for state filings, entity formations, dissolutions, registrations, and related legal documentation. Job Requirements
Paralegal or Legal Assistant with an Associate Degree and/or Florida paralegal certification. 5+ years’ experience in corporate entity management. Knowledge of entity management and legal billing platforms and software. Experience supporting corporate legal projects across departments and executives. Proficiency in Microsoft Word, Excel, Outlook, and PowerPoint.
