RightCapital is seeking a dynamic and experienced Contract Compliance Manager to lead and manage complex commercial agreements while ensuring regulatory adherence across our SaaS platform. In this multifaceted role, you will serve as the central point of contact for contract lifecycle management and compliance oversight, leveraging strong analytical, communication, and organizational skills to mitigate contractual risks and maintain regulatory standards. You will be responsible for drafting and redlining technology agreements, negotiating terms that align with both business objectives and regulatory requirements, and collaborating with cross‑functional stakeholders—including counsel, product, relationship‑management, billing, information security, and sales—to deliver strategic and compliant outcomes. This role is central to driving operational excellence and protecting the company's interests in a fast‑paced financial services environment.
As part of our Legal & Compliance function, our mission is to enable RightCapital's growth by providing robust contract management and regulatory oversight. We streamline the contracting process, ensure compliance with data privacy regulations, and continuously increase the value and protection provided to our clients and stakeholders.
This role involves understanding the business drivers behind each transaction and creatively solving challenges by working with internal stakeholders to assess risks, explain deal terms, and negotiate directly with customers and vendors. You will develop strategic approaches to complex commercial agreements while maintaining compliance with applicable data privacy and financial services regulations.
Requirements of the role include but are not limited to:
Review, draft, redline and negotiate technology‑related commercial contracts including SaaS agreements, master services agreements, business associate agreements, data processing addendums, statements of work, order forms, and non‑disclosure agreements
Serve as the central point of contact for assigned contracts, leveraging organizational skills and influence to ensure deals are negotiated and executed in accordance with business timelines and compliance requirements
Act as the primary point of contact for compliance inquiries from prospects and customers, including responding to vendor due diligence questionnaires, security assessments, and regulatory inquiries
Partner with Product and Marketing teams as an embedded compliance consultant to review product enhancement proposals, feature releases, and public‑facing statements for regulatory adherence and risk exposure
Develop and maintain compliance guidelines and frameworks for Product and Marketing teams to ensure platform features, promotional materials, and customer communications meet necessary regulatory standards and industry requirements
Engage with internal stakeholders including business units, legal counsel, information security, and compliance teams to assess risks specific to each transaction, particularly related to data privacy regulations (GDPR, CCPA, and other applicable frameworks)
Draft and maintain standard contract templates and playbooks that incorporate legal and business concepts while ensuring adherence to corporate policies and regulatory directives
Assess the impact of deviations from contracting standards and engage appropriate internal stakeholders for approval in accordance with delegation of authority
Monitor contract performance and compliance obligations throughout the contract lifecycle, including tracking expirations, key deliverables, and renewal opportunities
Plan and execute negotiation strategies in a timely manner while adjusting to changing circumstances and competing priorities
Conduct compliance reviews and audits to validate adherence to contractual commitments, data privacy regulations, and internal policies
Maintain and update the contract management system database with accurate information, ensuring proper document retention and accessibility
Respond to RFP, RFI, and security questionnaire requests related to contractual and compliance matters
Identify inefficiencies in existing contracting and compliance procedures, uncover bottlenecks, and propose innovative solutions to streamline processes
Partner with the sales operations team on contracts‑related workflows and approval processes
Provide guidance and training to internal teams on contract terms, compliance requirements, and best practices
Bachelor's degree in Business Administration, Finance, Legal Studies, or related field
3+ years of experience in contract management, compliance analysis, or related roles
Demonstrated experience in drafting, evaluating, and redlining commercial technology agreements
Strong understanding of data privacy regulations and their application to commercial contracts
Proven ability to manage multiple complex projects simultaneously in a fast‑paced environment
Experience in SaaS or financial services industries
Knowledge of FINRA and SEC regulations and compliance frameworks
Familiarity with SOC 2, ISO 27001, or other information security standards
Certification in compliance (CCEP, CRCM) or contract management (CPCM, CFCM)
Detail‑oriented with a consistent track record of accuracy and precision in contract review and compliance monitoring
Outstanding written and verbal communication skills, with the ability to convey complex contractual and regulatory concepts clearly and effectively to diverse audiences
Proven business insight coupled with sharp critical thinking and risk assessment capabilities
Highly organized with demonstrated time management and problem‑solving abilities
Experience developing and executing strategic negotiation approaches for sophisticated commercial agreements
Proficient in contract lifecycle management software and CRM systems
Track record of building collaborative relationships with cross‑functional teams and external counterparties
