Job Summary This position supports the legal activity for Shoppa's Material Handling and its affiliated companies. Primary responsibilities include negotiating and drafting contracts and managing real estate and property leasing issues. Additional duties may include advising on intellectual property matters, employment issues, and matters related to corporate governance, managing and working with outside counsel, and interacting with various company departments in connection with business opportunities. Must be self‑motivated, possess excellent analytical, organizational, and communications skills, and be able work independently in a fast‑paced environment. The Company does not have other in‑house attorneys and is looking to fill this new role with a strong leader with the identified skills, versatility, and initiative to embrace the opportunity and accompanying challenges.
Duties and Responsibilities
Draft, revise, and negotiate contracts related to all aspects of the Company's operations and commercial transactions (customers, vendors, suppliers, etc.).
Manage real estate and property leasing issues.
Provide legal assistance and advice regarding intellectual property matters.
Support the Company's legal activities and assist the Company's efforts to mitigate risk across areas including regulatory compliance, employment, safety, and other corporate governance matters for the Company and its subsidiaries, including, where appropriate, supporting the development of board minutes and other related documentation.
Work with senior management to manage litigation and dispute resolution; coordinate with outside counsel, when applicable, on complex legal issues.
Perform such other tasks as may be assigned by the Company's senior management.
Qualifications
Must be licensed to practice law by and in good standing with the State Bar of Texas.
Excellent academic credentials, minimum five years of experience negotiating and drafting contracts with customers and vendors, and minimum three years of experience managing real estate and property leasing issues are required.
Experience with intellectual property, regulatory compliance, employment law, corporate governance, dispute resolution, litigation management, ERISA, OSHA/workplace safety, and OFCCP issues is preferred.
Knowledge of and/or prior experience with manufacturing, distribution, and dealership operations in the material handling, farm equipment, construction equipment, and/or automotive industries is required.
Excellent oral and written communication skills are required.
Sound business judgment and the ability to work independently, simplify, solve problems, multitask, and work effectively against deadlines are required.
Proficiency in MS Word, Adobe Acrobat, and MS Excel are required.
Adherence to the highest ethical standards is required.
Working Conditions / Physical Requirements The person in this role must welcome the challenges and demands of providing legal advice and recommendations to senior management on the wide variety of issues a dynamic, multi‑state distribution and services business faces. This person will be required to understand and clearly explain complex concepts and problems, prioritize and balance multiple tasks, and quickly make recommendations to senior management; establish strong and constructive relationships with employees, customers, vendors, suppliers, and outside counsel; establish and meet deadlines; and meet the business needs of senior management, which may involve long and irregular hours. This is not a remote or hybrid role. The ability to work in‑person is an essential function of the job. The successful candidate will be expected and required to report to Shoppa's Alliance headquarters on all business days unless business travel requires otherwise or the Company reassigns the position to a different location.
