This isn't about filling a grunt role. This is about adding sophisticated capital markets lawyers who can independently run key aspects of transactions from day one.
What You'll Actually Do:
Run key aspects of transactions independently —from due diligence through closing, not just support roles
Represent issuers, underwriters, and placement agents in public offerings and private placements
Draft and negotiate underwriting agreements, purchase agreements, and offering documents (not just review them)
Handle 1933 Act and 1934 Act compliance and reporting matters with real ownership
Work on IPOs, debt financings, sovereign bond offerings, and private credit fund raises
Advise business development companies (BDCs) and 1940 Act funds on complex regulatory matters
Collaborate with colleagues across U.S., European, and Asian offices on cross-border transactions
Build direct relationships with issuers, investment banks, and institutional investors
Work on market-leading deals that Bloomberg, Legal 500, and IFLR regularly cover
What You Bring:
5+ years of capital markets experience at a sophisticated law firm
Proven experience representing issuers, underwriters, and/or placement agents
in securities offerings
Strong knowledge of 1933 Act and 1934 Act compliance and reporting requirements
Experience running key aspects of deals (not just supporting them)
Excellent drafting and negotiation skills
BDC and 1940 Act fund experience is a significant plus
Strong academic credentials
Large law firm background preferred
