A highly skilled and accomplished first‑chair attorney is sought to join a growing Corporate and Mergers & Acquisitions practice group. The ideal candidate will possess extensive experience in corporate law, private placements, and complex M&A transactions, with the ability to independently lead sophisticated deals from initial structuring through closing. This role involves close collaboration with experienced colleagues focused on delivering innovative and practical solutions for clients across the United States and globally. Candidates must demonstrate exceptional judgment, strong organizational capabilities, and the ability to manage multiple high‑level matters in a dynamic environment. A portable book of business is strongly preferred. Responsibilities
Lead complex transactional matters, including mergers, acquisitions, restructurings, joint ventures, and equity financings Advise clients on corporate governance, entity structuring, and regulatory compliance requirements Negotiate and draft purchase agreements, shareholder and operating agreements, and other key transactional documents Conduct and oversee due diligence processes Manage client relationships and provide strategic counsel aligned with business objectives Collaborate with cross‑functional professionals to ensure cohesive transaction execution Provide guidance to junior attorneys and legal support staff as appropriate Qualifications
Juris Doctor (JD) from an accredited law school Minimum of 7 years of transactional experience, including demonstrated first‑chair leadership in private placements and M&A transactions Strong drafting, negotiation, and legal project management skills Proven ability to manage multiple complex matters simultaneously with precision and efficiency Florida Bar admission preferred or willingness to obtain admission Portable book of business strongly preferred Spanish language skills preferred Benefits
