Overview: A leading multi-strategy hedge fund seeks a Counsel to join its Capital Solutions team. The role provides front-office exposure with traders, portfolio managers, and deal originators, working on bespoke, direct financings with public and private companies across sectors (hybrid between private credit, structured equity, and capital markets work).
Location:
Greenwich (Hybrid - 3 days/week in office; flexibility for NYC-based candidates)
Compensation:
~$200K base, $400K-$550K all-in (bonus-weighted)

Counsel
to join its
Capital Solutions team . The team executes bespoke, direct financings with public and private companies across sectors.
The Role
The Counsel will provide transactional legal support for the Capital Solutions desk, working across complex, often custom-structured financings and hybrid securities transactions. These are not off-the-shelf deals — securities are negotiated, structured, and tailored to the firm's investment strategy, requiring creativity and precision in documentation.
You'll collaborate directly with investment professionals, traders, and external counsel to design, negotiate, and execute transactions. Over time, you'll develop autonomy to run deals independently and play a central role in shaping investment terms and risk profiles.
Key Responsibilities
Draft, review, and negotiate financing and investment documents, including convertible and structured securities, PIPEs, preferred equity, and hybrid debt instruments.
Advise on securities law, disclosure, and registration considerations tied to direct company investments and exit strategies.
Partner with investment professionals to structure transactions aligned with the firm's commercial objectives and risk parameters.
Serve as a liaison between legal, trading, and deal-sourcing teams — ensuring clarity on deal terms, documentation, and execution steps.
Supervise external counsel and coordinate deal flow across multiple active transactions.
Advise on ongoing portfolio company matters, contract interpretation, and compliance questions from the trading floor.
Support relationship management with counterparties, bankers, and external advisors.
Qualifications
J.D. and admission to practice in at least one U.S. jurisdiction.
4-7 years of experience, ideally from a top-tier law firm or fund, focusing on capital markets, structured finance, or hybrid private placements.
Deep understanding of securities law and transactional documentation (e.g., convertible notes, preferred stock, registration rights, intercreditor arrangements).
Commercial judgment and ability to balance legal precision with business strategy.
Comfortable in a fast-paced, entrepreneurial environment — able to handle multiple deals with limited supervision.
Strong communication skills and the ability to work seamlessly with traders and deal teams.
