Overview An experienced Securities Attorney is sought to join a growing Corporate, Securities, and Mergers & Acquisitions practice group. The ideal candidate will have at least eight years of substantive experience handling private securities offerings, fund formation and management, and sophisticated joint ventures, including matters involving Rule 506(b) offerings under Regulation D. Candidates must have strong academic credentials, proven prior work experience, and demonstrated capability serving as lead counsel on private placements, private funds, and complex transactional structures.
The position requires excellent legal judgment, refined drafting and analytical skills, and the ability to manage work efficiently in a fast‑paced environment with competing priorities.
Responsibilities
Serve as lead counsel on private securities offerings, including Regulation D and 506(b) matters
Structure, form, and advise private funds and investment vehicles
Represent clients in the negotiation and formation of complex joint ventures and strategic partnerships
Draft and negotiate offering documents, operating agreements, subscription agreements, and related transactional documentation
Provide guidance on securities regulatory and compliance issues
Conduct and oversee due diligence reviews
Maintain strong client relationships and provide strategic business‑focused legal counsel
Collaborate with colleagues across practice areas when transactions require multidisciplinary support
Qualifications
Juris Doctor (JD) from an accredited law school
Minimum of 8 years of relevant securities and transactional experience
Demonstrated lead‑counsel experience in private placements, private fund matters, and joint ventures
Strong legal writing, negotiation, and communication skills
Excellent organizational and time management abilities with attention to detail
Florida Bar admission preferred, or willingness to obtain admission in a timely manner
Portable business strongly preferred but not required
Spanish language skills preferred
