Corporate Paralegal opportunity in Raleigh, NC.
Salary Range: $100,000 – $110,000.
Key Requirements
Minimum
8 years of corporate paralegal experience
Corporate minute books and records
Stock ledgers and stock option ledgers
Capitalization charts and waterfalls (Excel proficiency required)
Strong written and verbal communication skills
Ability to multitask, work independently, and manage high-pressure deadlines
Core Responsibilities
Prepare and maintain corporate governance documents
Support private equity and M&A transactions
Draft formation documents and assemble closing binders
Review and organize transactional documents for completeness
Coordinate signature packets and maintain transaction checklists
File documents with NC, DE, and other state Secretaries of State
Order certified documents, good standing certificates, and UCC searches
Draft board and shareholder resolutions and meeting minutes
Apply for EDGAR access codes and file Form D notices with the SEC and states
Conduct research on federal and state securities laws
Communicate professionally with clients via phone and written correspondence
Education
Bachelor’s degree or equivalent experience
Completion of an ABA-approved paralegal program or NC State Paralegal Certification preferred
