Our client is seeking a talented mid-level Corporate Associate to join their Capital Markets & Securities Practice in New York. This is an exciting opportunity to join a nationally recognised team with an exceptional, broad-based securities practice representing both public and private companies across a wide range of industries. The team advises clients on complex capital-raising transactions, including public and private debt and equity offerings, as well as corporate governance, and SEC and stock exchange compliance matters. Base pay range
$200,000.00/yr - $400,000.00/yr Responsibilities
Advise clients on public and private debt and equity offerings, including IPOs and follow-on public offerings. Represent issuers and underwriters in a wide range of capital markets transactions. Counsel public companies on mergers and acquisitions and SEC reporting. Provide guidance on day-to-day corporate governance, disclosure obligations, and compliance with SEC and stock exchange regulations. Work collaboratively with colleagues and clients to deliver practical and business-focused legal advice. Contribute to the firm’s continued growth through exceptional client service and teamwork. Qualifications
J.D. from an accredited law school. Three to five years of experience at a large law firm in capital markets and securities law. Substantial experience with public and private offerings, SEC reporting, and corporate governance. Strong understanding of Securities Exchange Act of 1934 and related regulatory frameworks.
