as a Senior Counsel, Corporate. IonQ is developing the world’s most powerful full‑stack quantum computer based on trapped‑ion technology. We push beyond classical physics limits, aiming to solve complex problems in medicine, materials science, finance, AI, cryptography, and more.
Responsibilities
Provide legal counsel on securities law compliance and SEC reporting, including annual, current and periodic reports and proxy statements, disclosure controls and procedures.
Assist in corporate governance matters, supporting the board of directors and implementing and managing corporate governance policies and managing subsidiary matters.
Assist with mergers, acquisitions, investments and other strategic transactions, including term sheets, diligence, preparation of transaction agreements, closing process and integration.
Support equity matters, including equity issuances, awards, plan management and Section 16 filings.
Advise on investor relations, corporate communications and corporate financial reporting functions.
Qualifications
JD from a top U.S. law school.
Training at a top national law firm.
5–7 years of total post‑law school experience.
Membership in a U.S. state bar.
Significant experience advising on M&A transactions and public company reporting matters.
Sound and practical business judgment and the ability to provide practical legal advice.
Experience with corporate governance matters, especially in Delaware.
Experience managing outside counsel efficiently and effectively, balancing in‑house resources.
Prior senior in‑house experience, reporting to the General Counsel.
Experience working with finance, corporate development and accounting teams.
Strong interpersonal communication skills and the ability to multitask in a fast‑paced environment.
Location & Travel This position can be worked onsite or hybrid from IonQ offices in College Park, MD or Bothell, WA, or fully remote in the US. Up to 10% domestic travel.
Compensation Approximate base salary range: $171,518 – $223,665 (flexible by location). Total compensation includes variable bonus and equity.
