Overview
IonQ is developing the world’s most powerful full‑stack quantum computer based on trapped‑ion technology. We are seeking a Senior Counsel, Corporate to partner with our cross‑functional teams and drive our legal strategy for corporate governance, securities compliance, and transactional matters. Location & Travel
This position can be based at our Bothell, WA or College Park, MD offices, or fully remote in the US. Up to 10% domestic travel is required. Responsibilities
Provide legal counsel on securities law compliance and SEC reporting, including annual, current, and periodic reports and proxy statements, disclosure controls, and procedures. Assist with corporate governance matters, supporting the board of directors and implementing corporate governance policies and managing subsidiary affairs. Advise on mergers, acquisitions, investments, and other strategic transactions, including term sheets, diligence, transaction agreements, closing, and integration. Support equity matters, including issuances, awards, plan management, and Section 16 filings. Advising on investor relations, corporate communications, and corporate financial reporting functions. JD from a top U.S. law school Training at a top national law firm 5–7 years of total post‑law school experience Membership in a U.S. state bar Significant experience advising on M&A transactions and public company reporting matters Sound, practical business judgment and ability to provide business‑oriented legal advice Qualifications – You’d be a great fit with
Experience with corporate governance matters, especially in Delaware Experience managing outside counsel efficiently and effectively Prior senior in‑house experience, including reporting to the General Counsel Experience working with finance, corporate development, and accounting teams Strong interpersonal communication skills and ability to multitask in a fast‑paced environment Compensation & Benefits
Base salary range: $171,518 – $223,665 (adjusted by location and experience). Total compensation includes equity, a variable bonus, and a comprehensive benefits package: medical, dental, vision, 401(k) matching, unlimited PTO, paid holidays, parental/adoption leave, legal insurance, home internet stipend, and pet insurance.
