Corporate M&A Associate - 5+ Years Law Firm Experience

Our client, an international law firm with an active cross-border M&A practice, is seeking an experienced Corporate M&A Associate with at least 5 years of experience in a Big Law peer firm setting to join their Dallas office. This position offers the opportunity to work on high-profile, complex M&A transactions for a global client base, alongside some of the best attorneys in the field. The firm is highly regarded for its sophisticated Corporate M&A practice.

Key Responsibilities:

Represent clients in various corporate M&A transactions, including mergers, acquisitions, joint ventures, and private equity deals.

Lead and assist in negotiating, drafting, and executing M&A documents such as merger agreements, stock and asset purchase agreements, and shareholder agreements.

Provide strategic advice on deal structuring, financing, regulatory compliance, and risk mitigation.

Collaborate with senior attorneys and cross-functional teams on large, multi-jurisdictional transactions.

Conduct due diligence, manage client communications, and oversee transaction documentation.

Manage and mentor junior associates and team members.

Keep clients informed on developments in corporate law and M&A trends.

Preferred Qualifications:

Experience in a broad range of M&A transactions, including cross-border deals, private equity, and corporate governance.

Fluency in a second language (Spanish or Mandarin preferred) due to the firm's global reach.

Experience managing client relationships and leading transaction teams.

At least 5 years of experience in Corporate M&A within a Big Law or peer firm setting.

Knowledge of domestic and international M&A regulations and compliance issues.

Exceptional drafting and negotiation skills for managing complex deal structures.

Strong communication skills to explain legal issues clearly to clients.

Ability to work effectively in a fast-paced, team-oriented environment focused on client service.

Strong attention to detail, strategic thinking, and problem-solving skills.
