About the Role An internationally connected law practice is seeking a
mid-level corporate associate
with
3+ years of experience
working on complex corporate and financial transactions. The role involves advising publicly listed companies and financial institutions on regulatory matters, governance, and capital-raising activities.
You will participate in a wide range of
equity and debt offerings , including initial public offerings, special-purpose acquisition vehicles, direct market listings, and follow-on financing. This role offers significant
hands‑on responsibility , including drafting documents, coordinating with stakeholders, and managing portions of the transaction lifecycle.
Key Responsibilities
Provide guidance to public companies on
corporate governance, regulatory reporting, and disclosure obligations .
Work with issuers and financial intermediaries on
market offerings and capital‑raising transactions .
Draft, review, and negotiate transaction documents while
coordinating with internal teams and external advisors .
Support transactions across multiple industries, with a focus on
technology and life sciences
clients.
Contribute to
team knowledge‑sharing and process improvements .
Qualifications
3+ years of relevant experience
advising public companies or financial institutions in corporate or capital‑raising matters.
Strong understanding of
governance, reporting, and disclosure requirements .
Experience with
IPO‑type transactions, SPACs, direct listings, or follow‑on offerings
preferred.
Interest in
technology or life sciences sectors
is a plus.
Excellent written, oral, and interpersonal communication skills.
Must be
licensed to practice in New York or eligible for bar admission .
