Overview:
A Leading Financial Services Institution is seeking an experienced Senior Corporate Paralegal to join their legal team. This role is ideal for a highly organized professional with a strong background in corporate governance and transactional support. The successful candidate will play a key role in managing legal entities, supporting board activities, and assisting with complex transactions.
Key Responsibilities:
Entity Management:
Maintain and update corporate records for domestic and international entities.
Coordinate formation, dissolution, and qualification of entities.
Contract Management:
Draft, review, and manage a wide range of agreements and related documentation.
Ensure compliance with internal policies and regulatory requirements.
Transactional Support:
Assist with M&A, financing, and other corporate transactions.
Prepare closing checklists, organize documentation, and manage post-closing matters.
Board Support:
Prepare board and committee materials, including resolutions and meeting minutes.
Coordinate logistics for board meetings and maintain governance records.
Qualifications:
Bachelor’s degree or Paralegal Certification from an accredited institution required
Minimum
6+ years of experience
as a corporate paralegal in a law firm or in-house legal department.
Strong knowledge of
entity management, contract administration, and corporate governance .
Experience supporting
complex transactions and board activities .
Exceptional organizational skills and attention to detail.
Ability to work independently and manage multiple priorities in a fast-paced environment.
