Position Summary We are seeking a highly skilled

Senior Counsel – Commercial Contracting

with significant in‑house experience in the medical technology (med‑tech) sector. The ideal candidate will have a strong background in drafting, negotiating, and managing complex commercial agreements, particularly with Group Purchasing Organizations (GPOs), Integrated Delivery Networks (IDNs), hospital systems, healthcare providers, and distributors.

This role requires a proactive legal advisor with the ability to operate in a fast‑paced, regulated environment, collaborating cross‑functionally with Sales, Marketing, Compliance, and Regulatory teams to support the company's strategic goals while minimizing legal risks.

Key Responsibilities

Draft, review, and negotiate a wide range of commercial contracts, including:

GPO and IDN agreements

Product Purchasing Agreements

Rebate Arrangements

Hospital and healthcare system contracts

Distribution and reseller agreements

Clinical trial and research collaboration agreements

Confidentiality agreements, MSAs, and vendor contracts.

Provide strategic legal counsel on contract structuring, risk assessment, and compliance with healthcare laws, including:

Anti‑Kickback Statute (AKS)

Stark Law

HIPAA and data privacy regulations

FDA regulatory frameworks related to med‑tech products

Serve as the primary legal point of contact for Strategic Sales and Sales Operations teams on customer and partner engagements.

Support contract lifecycle management processes and maintain templates and playbooks aligned with business and legal risk tolerances.

Collaborate with Compliance and Regulatory Affairs to ensure contracts reflect current policies and legal obligations.

Assist with legal due diligence and integration efforts for M&A or strategic partnership opportunities, as needed.

Monitor legal and regulatory developments affecting the med‑tech and healthcare contracting landscape.

Qualifications

Juris Doctor (JD) from an accredited law school; licensed to practice in at least one U.S. jurisdiction.

6+ years of relevant legal experience, with at least 3+ years in an in‑house role within a med‑tech, medical device manufacturer, distributor, healthcare technology company or as counsel within the supply chain or sourcing teams at a GPO, IDN, hospital system with experience reviewing, drafting and negotiation contracts.

Demonstrated expertise in handling contracts with GPOs, IDNs, hospital systems, and healthcare providers.

Advise leadership on regulatory compliance, GPO/AKS Safe Harbors, and sourcing best practices.

Assist in the development of training programs, contract templates, and platform transitions to support enterprise sourcing, risk mitigation, and streamlined contract management.

Strong understanding of U.S. healthcare regulatory environment, including compliance with GPO/AKS Safe Harbor requirements and reimbursement implications.

Familiarity with sourcing best practices.

Excellent drafting and negotiation skills with the ability to simplify complex legal concepts for non‑legal stakeholders.

Highly organized with strong attention to detail and the ability to manage multiple priorities in a fast‑moving environment.

Experience with commercial contracts in the med‑tech (highly preferred) or otherwise in the healthcare industry.

Familiarity with contract lifecycle management (CLM) tools and legal operations best practices.
