Corporate Associate Attorney

Insero Talent Solutions is thrilled to partner with a dynamic and growing law firm in Rochester, NY, in search of a Corporate Associate Attorney.
This attorney will support a broad range of complex transactional matters, working closely with partners, clients, and cross-functional practice groups. The ideal candidate brings strong experience in mergers and acquisitions, corporate governance, and general corporate/transactional work, with the ability to manage sophisticated matters independently.
Responsibilities
Represent clients in mergers and acquisitions, corporate restructurings, and other transactional matters.
Draft, review, and negotiate a wide range of business agreements, including purchase agreements, operating agreements, shareholder agreements, and other transactional documents.
Advise clients on corporate governance, entity formation, organizational structuring, and ongoing compliance requirements.
Partner with firm leadership, clients, and internal teams on complex and strategic legal matters.
Conduct legal research and provide risk assessments, issue‑spotting, and practical recommendations to clients.
Requirements
J.D. from an accredited law school and admission to practice in New York State.
4+ years of corporate law experience within a law firm environment.
Demonstrated experience with M&A transactions, financial and securities offerings, corporate governance, compliance matters, and general business transactions.
Ability to manage multiple deadlines, prioritize effectively, and thrive in a fast‑paced, client‑focused practice.
Strong communication, drafting, negotiation, and interpersonal skills.
Experience with private equity or venture capital transactions is a plus.
