excellent academic credentials
Active Bar Admission
in the relevant jurisdiction, in good standing
5+ years
of substantive
transactional tax
experience, preferably gained at an
AmLaw 100 firm
Demonstrated experience advising on tax aspects of
mergers ,
acquisitions , and
private equity
(PE)
transactions
in the
middle market
PE space
Strong analytical, drafting, and research skills with exceptional attention to detail
Excellent business judgment, organizational abilities, and interpersonal communication skills
Ability to manage multiple complex transactions simultaneously and work both independently and collaboratively with cross‑functional teams
Key Responsibilities
Advise clients on the
federal ,
state , and
international tax implications
of
corporate transactions , including mergers, acquisitions, divestitures, and joint ventures
Draft ,
review , and
negotiate
tax‑related
provisions
in transactional documents
Conduct detailed
tax due diligence
and
provide risk assessments
to clients and deal teams
Collaborate with corporate, finance, and other practice groups to
deliver comprehensive tax solutions
that align with clients’ strategic goals
Stay current
on evolving tax laws and regulatory developments impacting M&A and private equity transactions
Maintain strong client relationships through clear communication, responsiveness, and a commitment to delivering high‑quality work
