invites applications for a Director in our Deals practice focused on Sales and Purchase Agreement (SPA) Advisory.

The opportunity
Develop a specialized skill set in a high‑value‑add area for corporate and private equity clients.
Gain experience on a wide range of transactions (both buy‑side and sell‑side) across different sectors and markets.
Improve analytical and negotiation techniques.
Gain insight into key value levers for clients negotiating deal value points and SPAs.
Advise and support negotiations with senior members of client and counterparty teams along with their advisors.
Work closely with due diligence teams to identify and mitigate risk for clients.
Work across borders with our global network of deal professionals.
Develop a strong internal and external network.
Your Key Responsibilities Working closely with clients, bankers, legal advisers, transaction diligence teams, and SPA Advisory members to manage and deliver advice on M&A pricing adjustment mechanisms, including:
Analysis of cash, debt, and working capital adjustments.
Preparation of pricing schedules.
Reviewing and commenting on the financial aspects of the SPA.
Assisting clients with preparation or review of closing accounts.
Performing leakage reviews on locked‑box transactions.
Additional responsibilities include:
Supervising senior associates and associates, with opportunities to lead and work directly with Partners, Managing Directors, and Senior Directors.
Supporting client negotiations with the counterparty.
Drafting detailed and compelling outputs for clients.
Building valued relationships with external clients and internal peers.
Taking ownership of Quality and Risk Management (Q&RM) to ensure client work meets EY’s quality standards.
Communicating with partners and senior directors in a flat team structure.

Qualifications
Either a bachelor’s degree in Accounting or Finance with 5 years of related experience, or a graduate degree with 4 years of related experience.
Excellent analytical skills and confidence translating complex data into insights.
Strong prioritization and adaptability to new challenges.
Solid negotiation and influencing skills and ability to build lasting relationships.
Proficiency in Excel, Word, and PowerPoint.
Strong written and verbal communication.
A team‑oriented mindset.
Reside in or be commutable to an office location for this role.
Willingness to travel and work beyond standard hours when necessary.
Ideal Additional Qualifications
Proven record of excellence supporting M&A transactions.
Active CPA certification or formal accounting training.
Experience within another large professional services organization.
Established networking skills in a relevant industry.
Knowledge of leveraging firm‑approved AI tools, including Microsoft Copilot.
