This Director position focuses on M&A pricing mechanisms and sales and purchase agreements, providing expert support to clients, investment banks, lawyers, and deal teams throughout the entire transaction lifecycle.
The Opportunity The role involves identifying and articulating key value points related to deal closing mechanics to assist clients in negotiating M&A pricing and transaction documents. You will work with deal teams and clients across all stages of the deal continuum—including planning, negotiation, signing, closing, and post‑closing.
Develop a specialized skill set in high-value corporate and private equity client work.
Gain experience on a wide range of buy-side and sell-side transactions across sectors and markets.
Improve analytical and negotiation techniques.
Advise senior client and counterparty teams on key deal value points and SPAs.
Collaborate with due diligence teams to identify and mitigate risk.
Work across borders with our global network.
Build a strong internal and external network.
Key Responsibilities
Supervise senior associates and associates, working directly with partners, managing directors, and senior directors to provide insightful recommendations.
Support client negotiations with counterparty on transactions.
Draft detailed and compelling outputs for clients.
Build valued relationships with external clients and internal peers to develop a portfolio of high-value projects.
Take ownership of Quality and Risk Management (Q&RM) to ensure consistent, compliant delivery.
Communicate with partners and senior directors in a flat team structure.

Qualifications
Bachelor’s degree in Accounting or Finance with 5 years of related experience, or graduate degree with 4 years of related experience.
Excellent analytical skills and ability to translate complex data into insights.
Strong negotiation and influencing skills.
Proficiency in Excel, Word, PowerPoint.
Strong written and verbal communication.
Team-oriented mindset.
Residence in or commutable to an office location.
Willingness to travel and work beyond standard hours when required.
Preferred Experience
Proven record of excellence supporting or giving familiarity with M&A transactions.
CPA certification or formal accounting training.
Experience within a large professional services organization.
Industry networking skills.
Knowledge of leveraging firm-approved AI tools such as Microsoft Copilot.
Compensation & Benefits
Base salary range in all U.S. locations: $120,400 – $220,700. For NYC, Washington, & California (ex Sacramento): $144,500 – $250,900.
Total Rewards package includes medical, dental, pension, 401(k), and paid time off.
Hybrid model: 40–60% in-person for most external roles.
