1933 Act and 1934 Act compliance reports
Underwriting agreements, purchase agreements, indentures, and related documentation
Strong working knowledge of federal securities laws, SEC regulations, and disclosure rules
Admission to the New York State Bar

Corporate Associate
with deep experience in securities and capital markets to join its
New York City
office. This role will focus on advising clients on public and private offerings, regulatory compliance, and securities disclosure obligations. The successful candidate will work closely with issuers, underwriters, and company leadership on complex capital markets transactions.
Key Responsibilities
Advise on compliance with the Securities Act of 1933 and Exchange Act of 1934
Draft, review, and file registration statements, prospectuses, and SEC filings (10‑K, 10‑Q, 8‑K)
Counsel clients on disclosure obligations and best practices in securities offerings
Coordinate with clients, auditors, underwriters, and regulators throughout the deal process
Support a wide range of transactional matters, including IPOs, debt offerings, and private placements
