Overview A client is seeking a highly motivated and skilled Corporate Associate to join a dynamic practice focused on advising innovative businesses and investors across the technology sector. This role offers the opportunity to work on cutting‑edge transactions and collaborate with leading entrepreneurs, venture capital firms, and public technology companies.

Key Responsibilities

Represent technology companies and investors in a broad range of corporate and transactional matters.

Advise on venture financings (early and late‑stage), mergers and acquisitions, and private and public offerings.

Serve as a trusted advisor to founders, executives, and boards on strategic and operational matters.

Draft, review, and negotiate complex agreements and transaction documents.

Manage substantial components of transactions independently while collaborating effectively within deal teams.

Coordinate due diligence, closing processes, and post‑closing integration.

Work closely with colleagues in tax, IP, employment, and regulatory practices to deliver comprehensive solutions.

Qualifications

Minimum 2+ years of corporate law experience at a top‑tier law firm, with exposure to technology company transactions.

Strong drafting, negotiation, and analytical skills.

Ability to manage multiple projects and deadlines in a fast‑paced environment.

Outstanding academic record from a reputable law school.

Relevant bar admission (or eligibility to obtain promptly).

Excellent written and verbal communication skills; ability to convey complex concepts clearly.
