Responsibilities
Negotiate SaaS and AI platform agreements with clients and vendors
Advise on IP Protection Strategies, Data Privacy and Security Protocols
Draft and Review DPAs and various business agreements, i.e. Stock and Asset Purchase Agreements, Shareholder Agreements, Operating Agreements
Structure and negotiate complex technology transactions autonomously in a fast-moving environment.
Lead M&A deals and Investment Capital Raises
Complex Terms of Service and Privacy Policies
Oversee junior and mid-level attorneys
Qualifications
JD from an accredited law school
Active bar license in NY
10+ years of technology transactions experience, with at least 5 years in a leading, client-facing role
4+ years experience at a law firm required
Demonstrated experience in software and technology services sector, AI and data privacy
Deep understanding of IP licensing structures
SaaS and Software licensing, cloud services agreements, API integration agreements
Custom development contracts, open-source compliance
E-commerce, tech consulting, tech sector, healthcare and media
