Opening: Corporate Finance Attorney City: Seattle, WA WHAT YOU’LL DO
Entity Formation & Governance
Provide guidance to founders and early‑stage companies on entity structuring, incorporations (with an emphasis on Delaware entities), and governance best practices. Draft and negotiate shareholder agreements, operating agreements, and founder equity arrangements. Venture Capital Financings
Represent startups and investors in seed, Series A, and later‑stage equity rounds, as well as in financings involving SAFEs and convertible notes. Prepare and negotiate term sheets, stock purchase agreements, voting agreements, investors’ rights agreements, and other financing documents. Oversee Blue Sky compliance and prepare Form D filings under Regulation D. Securities Law Compliance
Advise clients on federal and state securities laws, including the use of exemptions under the Securities Act of 1933. Assist with ongoing reporting obligations related to equity crowdfunding (Reg CF), Reg A+ offerings, and Rule 506(b)/(c) offerings. M&A and Exit Transactions
Support mergers, acquisitions, secondary transactions, and restructurings. Conduct legal due diligence and draft key transaction‑related documents. General Counsel Services
Act as outside general counsel for startup clients, providing support on commercial agreements, cap table and equity management, 409A compliance, and other operational legal matters. WHAT’S IN IT FOR YOU

Juris Doctor (J.D.) degree from an accredited law school Admission to the Washington State Bar and in good standing Proficiency with NVCA model documents, Y Combinator SAFE templates, and Carta platforms Knowledge of corporate and securities laws (including the ’33 and ’34 Acts and Rule 701) Excellent drafting, negotiation, and communication skills Strong client service orientation and ability to manage multiple clients and transactions simultaneously Demonstrated experience advising venture‑backed technology startups and emerging growth companies in all stages of their lifecycle – corporate formation, financings, equity incentive plan administration, intellectual property and technology transactions, and mergers and acquisitions NEXT STEPS
