Top-tier, global law firm is seeking a Senior Corporate Paralegal to join their Palo Alto team. This role offers the chance to work with award‑winning attorneys and a cohesive legal support team.
Base Pay Range $155,000.00 – $180,000.00 per year.
Responsibilities
Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents
Coordinate closings and prepare related documents
Prepare legal opinions and assemble opinion back‑up
Draft and file corporate and securities filings
Organize corporate records and conduct due diligence reviews
Prepare stock certificates and maintain capitalization tables and option records
Research Blue Sky issues and prepare required filings
Provide training to case assistants and junior paralegals
Other tasks as assigned or required
Requirements
5+ years of transactional experience in Private Equity, M&A and Public Company matters is desired
Available to work overtime, as required
Excellent oral and written communication skills
Strong attention to detail with the ability to manage multiple priorities and track extensive details
Ability to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly
Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred
Preferred
Familiarity with Carta, Shareworks, or similar Web based equity tracking system
Salary and Bonus Salary is $160,000 – $180,000 DOE + annual bonus.
