Role Overview Our client is seeking a Legal Counsel to support its U.S. and global expansion. As the sole U.S.-based counsel, you’ll advise on corporate and commercial matters, acquisitions, contracts, and post‑merger integration while partnering with senior stakeholders across California, Texas, New York, and Chicago.
Key Responsibilities
Review, draft, and negotiate an array of international commercial contracts with clients and suppliers to ensure adherence to organizational standards while mitigating potential risks.
Provide comprehensive legal assistance to partners and principals during client engagements by advising on contractual terms and facilitating effective negotiations.
Work collaboratively with the acquisitions team to deliver in‑house legal counsel throughout the acquisition process as part of the company's ongoing expansion strategy.
Support due diligence activities and oversee post‑completion corporate and commercial matters to ensure seamless integration of newly acquired entities.
Advise on internal operational issues including employment‑related contracts, share option schemes, company policies, and data protection requirements.
Maintain close communication with the General Counsel while operating independently as the sole United States‑based legal counsel, ensuring effective liaison between domestic offices and international teams.
Engage with external counsel in various jurisdictions (notably in the United Kingdom and United States) when specialist advice or cross‑border expertise is required.
Contribute to corporate governance initiatives by ensuring all practices are aligned with regulatory requirements and best practice standards.
Assist in developing internal policies that reflect current legislation regarding intellectual property rights, liability clauses, indemnities, and data privacy.
Participate actively in post‑closing integration projects for newly acquired businesses by providing ongoing legal guidance.
Key Requirements The ideal candidate for Legal Counsel brings substantial experience from both private practice at leading law firms and prior roles as an in‑house lawyer within swiftly growing organizations. Your background provides you with deep insight into managing intricate commercial agreements while balancing regulatory compliance against practical business imperatives. Admission to practice law in California, Texas, or New York is essential for this position.
A minimum of four years’ post‑qualification experience gained at a reputable United States or international law firm demonstrates your technical proficiency across diverse legal areas.
A proven record as an in‑house lawyer within a rapidly expanding environment highlights your adaptability and understanding of evolving business needs.
Comprehensive knowledge of commercial contracts—including intellectual property considerations, data protection obligations, liability clauses, and indemnities—enables you to manage risk judiciously.
Experience advising on corporate governance matters ensures you can uphold best practices within a growing organization.
Fluency in written and spoken English is required for clear communication across global teams.
The ability to operate independently whilst maintaining close consultation with senior leadership reflects your reliability and discernment.
Familiarity with public company‑related work is highly desirable as it supports compliance during periods of rapid organizational change.
