Overview The Counsel is a key member of the Legal team responsible for managing the full lifecycle of contracts, providing legal operations and drafting support to the General Counsel. This position requires a professional with a solid foundation in contract management, drafting agreements while assisting with corporate governance, compliance, and legal research activities. The role will collaborate closely with internal stakeholders and external partners to ensure legal and business risks are appropriately managed and contractual obligations are fulfilled.

Responsibilities

Contract Lifecycle Management – manage the entire lifecycle of contracts, including drafting, reviewing, negotiating, executing, and maintaining a centralized contract repository.

Draft, review, and edit agreements such as NDAs, MSAs, SOWs, vendor agreements, amendments, and corporate legal documents.

Monitor and track contractual obligations, key milestones, deliverables, and ensure compliance with agreed terms.

Compliance & Risk Management – assist in maintaining compliance frameworks, legal trackers, and support corporate policy development.

Collaborate with business units and legal counsel to identify and mitigate contractual risks while ensuring alignment with corporate policies.

Legal Operations – support legal operations including document management, legal process improvements, and coordination with external counsel.

Serve as a key point of contact for contract-related queries, providing guidance on legal and operational matters.

Corporate Governance – support the General Counsel in preparing legal documentation including board resolutions, corporate governance materials, and regulatory filings.

Qualifications

Education: Bachelor's Degree in Legal Studies, Business Administration, or a related field. Juris Doctor (JD) preferred.

Experience: At least 4 years of experience, preferably in a corporate environment; prior experience supporting General Counsel or Legal Departments helpful; in-depth knowledge of contract law and corporate governance.

Preference for candidates with training and experience in a “big law” firm or large corporate environment (e.g., PwC, Accenture, Apple).

Demonstrated ability to be self-sufficient, proactively manage priorities, and independently drive projects from initiation through completion.
