Overview A leading private funds practice is seeking a fund formation associate with at least two years of experience to join its New York team. This role is well-suited for an attorney who has been directly involved in private investment fund formation and sponsor‑side work and is looking to deepen their experience within a sophisticated, market‑facing platform.

Key Responsibilities Represent fund sponsors and investors in the formation of private investment funds. Draft and negotiate fund documentation, including limited partnership agreements, subscription documents, and side letters. Advise on sponsor‑level transactions involving general partner and management company entities. Handle secondary transactions involving limited partner and/or portfolio company interests. Support clients through regulatory, structuring, and operational considerations related to private funds. Collaborate with senior attorneys to manage transactions from formation through closing.
Top Requirements 2+ years of private investment fund formation experience. Direct experience representing sponsors and/or investors in private funds. Exposure to sponsor‑level transactions and secondary transactions involving LP or portfolio interests. Training from the corporate department of a national or international law firm strongly preferred. Strong academic credentials from a nationally recognized law school. Excellent drafting skills, attention to detail, and ability to manage multiple matters efficiently.
