OVERVIEW
We’re seeking an experienced real estate and tax attorney to serve as a key in‑house legal partner for a growing lifestyle company and its founders. The role blends hands‑on transaction execution with deep real estate tax structuring and family‑office‑style governance, working closely with principals, tax, accounting and outside counsel. You will quarterback deals from LOI through closing and manage ongoing portfolio matters with a strong emphasis on tax‑efficient structures.
RESPONSIBILITIES
Deal Execution: Lead legal workstreams for acquisitions, dispositions, developments, and recapitalizations (JV equity, preferred equity, construction & debt) and draft/negotiate PSAs and JV/operating agreements.
Tax Structuring: Design and implement tax efficient structures in partnership with advisors on complex federal, state, and local tax issues.
Diligence & Risk: Oversee legal diligence (title/survey, entitlements, zoning, environmental, property tax) and craft practical risk‑allocation solutions.
Strategic Governance: Align entity charts, intercompany agreements, and trust/estate considerations with investment goals; manage confidentiality; coordinate with wealth/estate/tax advisors.
Portfolio Support: Handle amendments, estoppels/SNDAs, refinancing, property‑tax appeals strategy and asset‑level compliance.
Outside Counsel Management: Scope, select, and direct outside counsel; manage budgets and timelines; translate advice into strategic decisions.
QUALIFICATIONS
Experience: 8–12+ years focused on real estate transactions and real estate tax planning. Family‑office, private investment company, or closely held sponsor/owner experience strongly preferred.
Credentials: JD from a top tier law school required; LL.M. in Tax a plus. Active bar admission in California or ability to register in‑house.
Skills: Business‑oriented negotiator, highly responsive and strategic thinker and low‑ego collaborator able to work directly with principals and counterparties in a fast‑paced environment.
The base salary range for this position is $250,000-$325,000 per year which represents the current range for the base salary for this exempt position. Please note that actual salaries will vary based on factors including but not limited to location, experience, and performance. As such, on occasion and when applicable, there is the possibility that the final, agreed‑upon base salary may be outside of the upper end of the range. Please also note the range listed is just one component of the company’s total rewards package for exempt employees. Other rewards may include performance bonuses, long term incentives, a PTO policy, and many other progressive benefits.
