Position Summary The Corporate Lawyer will serve as a key legal partner to Field Service, Sales, Operations, and Executive Leadership. This role will be responsible for reviewing, drafting, negotiating, and advising on a wide range of commercial contracts and legal documents related to electrical testing, commissioning, maintenance, and breaker shop operations.
The ideal candidate has experience supporting technical service organizations and understands the legal risks associated with field operations, safety‑critical work, and regulated environments.
Duties And Responsibilities
Review, draft, and negotiate a wide range of commercial legal documents including:
Non-Disclosure Agreements (NDAs)
Master Service Agreements (MSAs)
Service Agreements and Amendments
Client-specific Terms & Conditions
Subcontractor and Vendor Agreements
Partner with Sales and Operations to:
Review contract exceptions and non-standard terms during bid and proposal stages
Identify and mitigate contractual, financial, and operational risk prior to execution
Support commercial negotiations while protecting Saber’s risk profile
Advise on contract risk allocation including:
Indemnification and defense obligations
Limitation of liability and damages
Warranty and performance guarantees
Insurance requirements and compliance
Support compliance with customer requirements across:
Commercial and industrial clients
Government and utility contracts
Data center and technology customers
Midstream and renewable energy projects
Collaborate with internal stakeholders and external counsel as needed
Own and manage the company’s contract repository, ensuring contracts are properly stored, tracked, and accessible.
Provide practical, business-focused legal guidance to enable efficient field execution while maintaining compliance and risk controls.
Perform other job‑related duties as requested by management.
Qualifications Required
Juris Doctor (JD) from an accredited law school
Licensed and in good standing with at least one U.S. state bar
Minimum of 5 years experience reviewing and negotiating commercial contracts
Strong experience with NDAs, MSAs, service agreements, and terms and conditions
Experience supporting service-based, technical, or operations-driven organizations
Ability to partner effectively with Sales, Operations, and Executive Leadership
Strong attention to detail with a practical, business-focused approach to legal risk
Experience managing and maintaining a contract repository or legal document system
Preferred
Experience supporting:
Electrical services, testing, commissioning, or EPC organizations
NETA testing or technical field services
Industrial maintenance, utility, or energy-related companies
Familiarity with contracts across:
Commercial and industrial clients
Government and utility customers
Data center/technology, midstream, and renewable markets
Prior in-house counsel or long-term outside counsel experience
Experience standardizing contract templates, terms, and playbooks
Familiarity with multi-state service operations and regulatory considerations
Skills
Ability to prioritize and manage multiple contract reviews simultaneously
Practical application of legal concepts to field operations
Cross-functional collaboration with Sales, Operations, and Leadership
Interpretation of client flow-downs and non-standard terms
Commercial contract drafting, review, and negotiation
NDA, MSA, service agreement, and T&C management
Contract risk assessment and mitigation
Contract repository ownership and document control
