A well-established North Carolina law firm with over one hundred years of experience and five offices across the state is seeking a highly skilled Corporate Mergers & Acquisitions Attorney to join its growing transactional team in Raleigh, NC. This accomplished firm offers comprehensive legal services across multiple practice areas and has built a strong reputation for community engagement and professional excellence.
This role offers the opportunity to advise business owners, executives, private equity sponsors, and strategic buyers and sellers across diverse industries on complex transactions. You'll work in a collaborative, multi-disciplinary environment where attorneys partner across tax, employment, IP, real estate, and other specialties to deliver comprehensive client solutions.
Key Responsibilities
Lead and execute end-to-end M&A transactions, including stock and asset purchases, joint ventures, corporate reorganizations, ESOPs, divestitures, and private equity transactions.
Draft and negotiate definitive agreements, including purchase and sale agreements, merger agreements, operating and shareholder agreements, management incentive equity arrangements, letters of intent, and related transaction documents.
Conduct and supervise comprehensive due diligence, identifying and evaluating legal, financial, and operational risks across tax, employment, intellectual property, securities, real estate, and environmental areas.
Advise clients on deal structure, financing options, valuation considerations, rollover equity, restrictive covenants, and strategic negotiation points to achieve optimal transaction outcomes.
Implement strategic solutions to complex transactional challenges, coordinating with specialists across multiple legal disciplines.
Represent both buyers and sellers in middle-market and lower middle-market transactions, providing balanced perspective and strategic counsel.
Develop long-term business relationships with clients, serving as trusted advisor on corporate governance, growth strategies, and exit planning.
Support firm-wide initiatives to enhance the corporate practice, including business development, client service excellence, and associate mentorship.
Qualifications
J.D. degree from an accredited law school.
Admission to (or eligibility for admission to) the North Carolina Bar.
4-10+ years of corporate M&A experience, preferably representing both buyers and sellers in middle-market transactions.
Significant drafting and negotiation experience with complex transactional documents, including purchase agreements, equity documents, and ancillary agreements.
Strong professional judgment, communication skills, and commercial acumen, with ability to understand clients' business objectives and provide practical counsel.
Ability to collaborate and work efficiently within multi-disciplinary deal teams, coordinating across tax, employment, IP, and other practice areas.
Experience with private equity transactions is highly valued, including sponsor representation, portfolio company acquisitions, and fund formation matters.
Skills
Expertise in structuring and managing complex transactions, with deep understanding of deal mechanics, tax implications, and risk allocation.
Strong drafting and negotiation skills, with proven ability to produce high-quality transaction documents and achieve favorable deal terms.
Excellent communication and professional judgment, including ability to explain complex legal concepts to business clients and boards of directors.
Ability to work collaboratively in multi-disciplinary teams, leveraging firm-wide expertise to deliver comprehensive client solutions.
Business development capabilities, with track record or potential for building client relationships and originating transactions.
Understanding of private equity structures, including carried interest, management equity, waterfall provisions, and sponsor economics.
Knowledge of corporate governance, including fiduciary duties, Delaware corporate law, and best practices for closely-held businesses.
Project management skills, with ability to manage multiple transactions simultaneously while maintaining attention to detail.
