Corporate Finance/ Secured Transaction Attorney Latitude Legal is seeking a highly experienced Secured Transactions / Corporate Finance Attorney (7+ years of experience) to join the legal team of a sophisticated, fast‑paced organization on a full‑time 7‑month engagement basis. This opportunity is primarily based in New York City (office near Grand Central), with a hybrid schedule requiring regular in‑office presence (minimum 2–3 days per week, increasing to 3–4 days during the initial onboarding and training period). A Chicago‑based candidate may also be considered. The engagement is expected to span mid‑February through Labor Day. This role is ideal for a high‑energy, confident attorney who can step in quickly, take ownership of complex matters, and thrive in a high‑performance environment.

The ideal candidate will bring deep experience in secured transactions, asset‑based lending, and corporate finance, with a strong big‑law transactional background. The role involves negotiating and drafting sophisticated financing and investment documents, often with cross‑border components, and collaborating closely with a team of highly trained internal stakeholders, many of whom are former top‑tier litigators. The attorney must be comfortable operating in an “always‑on,” fast‑moving business environment and working independently with minimal supervision.

Key Responsibilities

Draft, review, and negotiate complex secured transaction and corporate finance documents, including financing and investment agreements.

Support cross‑border transactions, coordinating with counsel in other jurisdictions.

Advise on UCC‑related issues and secured lending structures.

Assist with servicing an existing investment portfolio, including restructurings, changes of counsel, bankruptcy‑related matters, and breach correspondence.

Collaborate with internal stakeholders on highly negotiated transactions in a demanding, sophisticated environment.

Draft and review vendor and technology agreements, including SaaS, AI, consulting, marketing, and PR services agreements.

Basic Requirements

7+ years of experience in secured transactions, corporate finance, or related transactional practice.

Strong corporate finance/secured transaction background.

Transactional Big Law experience strongly preferred; a combination of law firm and in‑house experience is ideal.

Meaningful experience with cross‑border transactions.

Excellent drafting skills with demonstrated experience handling complex, negotiated transactions.

Strong academic credentials from a top law school; top‑tier firm experience preferred.

Licensed and in good standing in New York.

Ability and willingness to work in‑office regularly (not a fully remote role).

Highly responsive and adaptable, with the energy to integrate quickly and “pick up the practice.”

Compensation Pay:

The annualized pay for this position ranges from $240,000 to $300,000 when calculated on a full‑time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
