Legal Talent Specialist / Recruiting Manager / 6x President’s Club Winner Our clients are seeking highly motivated Capital Markets Attorneys to join their growing corporate practice. This role focuses exclusively on U.S. and cross-border securities and capital markets transactions, representing issuers, underwriters, and placement agents in sophisticated public and private offerings. The ideal candidate brings strong technical expertise, sound commercial judgment, and thrives in a fast-paced, transaction-driven environment.

This is a compelling opportunity for an attorney from a top-tier law firm who is seeking meaningful responsibility, direct client exposure, and high-impact deal work—without the constraints of a traditional law firm model.

Key Responsibilities

Advise issuers, underwriters, and placement agents on a broad range of capital markets transactions, including:

Initial public offerings (IPOs)

Follow‑on and registered direct offerings

Shelf registrations

SPAC transactions and de‑SPACs

PIPEs and private placements

Draft, review, and negotiate registration statements, prospectuses, private placement memoranda, underwriting agreements, warrant agreements, subscription agreements, and related disclosure documentation.

Prepare and manage SEC filings under the Securities Act of 1933 and the Securities Exchange Act of 1934, including Forms S‑1, S‑3, 10‑K, 10‑Q, 8‑K, and proxy statements.

Counsel public companies on:

Ongoing SEC reporting and disclosure obligations

Corporate governance matters

Insider trading policies and compliance programs

Stock exchange listing standards and regulatory requirements

Collaborate closely with senior attorneys and clients to manage transactions from inception through closing.

Qualifications

J.D. from an accredited law school; Ivy League or top‑tier law school strongly preferred.

Active membership in good standing with the New York or New Jersey Bar.

2+ years of capital markets and/or securities law experience at a top AmLaw firm or sophisticated in‑house legal department.

Deep working knowledge of:

SEC regulations and disclosure requirements

NYSE and Nasdaq listing standards

Demonstrated experience handling public and private offerings, SEC filings, and complex disclosure matters.

Strong drafting skills, attention to detail, and ability to manage multiple transactions simultaneously.

Salary and Other Compensation The annual salary for this position is between $150,000 – $250,000 annually. Factors which may affect pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
