Assistant General Counsel, Technology and Managed Services – Senior Manager Location: Anywhere in the United States

Opportunity As an Assistant General Counsel for Technology and Managed Services you will provide advice and counsel on the provision of managed services and other technology services to EY clients, focusing on drafting, updating, and negotiating client‑facing complex, multi‑year agreements for system implementation, application development, software licenses, software‑as‑a‑service, artificial intelligence, big data, analytics, and cloud computing. You will work closely with EY’s Global Counsel’s Office and other supporting groups across the United States and other jurisdictions.

Key Responsibilities

Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk.

Advise on legal risks associated with the technology underpinning Managed Services Agreements.

Collaborate with US GCO members and local counsel in other EY member firms.

Coordinate legal resources on managed services projects.

Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as appropriate.

Advise on the accuracy and sufficiency of contractual documentation to protect EY interests.

Understand existing EY policies and develop or enhance policies and guidance relevant to managed services and technology services.

Manage workflow in a dynamic environment and remain responsive, reliable, communicative, and accountable to leadership.

Build relationships and team seamlessly across GCO and Legal Practice Groups to deliver exceptional service to GCO clients.

Develop and deliver training on Technology & Managed Services Agreements and share best practices across the legal network.

Qualifications

8+ years of complex services and technology‑related transactional experience in a client‑facing capacity.

Experience negotiating with client internal counsel, outside law firms, and procurement.

Experience developing contracting templates, playbooks, and standards.

Experience in data privacy, intellectual property law, and technology provision in the context of Technology & Managed Services Agreements.

Experience with cross‑border contracting (including employee matters and cross‑border data transfer).

Ability to understand, assess, and negotiate terms for current and new technologies (cloud and AI).

Excellent communication, negotiation, and interpersonal skills.

High degree of cultural and emotional intelligence and resilience.

Ability to work independently and team effectively with colleagues in other functions and geographic locations.

Bachelor’s degree from an accredited 4‑year college; Juris Doctor from an accredited law school; Membership in a State Bar as an attorney qualified to practice law.

Good standing with the applicable State Bar, including current continuing legal education requirements.
