About the Role As an Assistant General Counsel for Technology and Managed Services, you will provide legal advice and counsel on managed services and technology services & products for EY clients. Your focus will be on drafting, updating, and negotiating client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses, and software‑as‑a‑service agreements, artificial intelligence, big data, analytics, cloud computing, and other technology products. You will work closely with EY’s General Counsel’s Office (GCO) and with other GCO groups across the United States and other jurisdictions.

Your Key Responsibilities

Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk and staying current on relevant legal developments.

Advise on key legal risks associated with the technology underpinning Managed Services Agreements.

Collaborate closely with other members of the US GCO as well as local counsel in EY member firms.

Coordinate legal resources on managed services projects.

Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary or appropriate for Agreements.

Advise on the accuracy and sufficiency of contractual documentation to protect EY interests.

Understand existing EY policies and develop/enhance policies and guidance relevant to managed services and other technology services and products.

Manage workflow in a highly dynamic environment, remaining highly responsive, reliable, communicative, and accountable to team leadership and other GCO members.

Build relationships and team seamlessly with other GCO members, within the Legal Practice Groups, to deliver exceptional service to GCO clients.

Develop and deliver training on Technology & Managed Services Agreements, knowledge sharing, and best practice across the legal network and business where requested or appropriate.

Qualifications

8+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and leading the negotiation of Technology & Managed Services Agreements.

Experience negotiating across from client’s internal counsel, outside law firms, and procurement.

Experience developing contracting templates, playbooks, and standards.

Experience in data privacy, intellectual property law, and the use and provision of technology in the context of Technology & Managed Services Agreements.

Experience with cross‑border contracting (including employee matters such as auto‑transfer laws, local country agreements, and cross‑border data transfer).

Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI) and explain the related legal and business risks in a practical manner.

Excellent communication skills, both oral and written.

Excellent negotiation and interpersonal skills.

High degree of cultural and emotional intelligence and demonstrated aptitude for resilience, flexibility, and ability to adapt to changing circumstances and dynamics.

Ability to work independently and team effectively with colleagues in other functions and geographic locations.

Ability to grasp, understand, and accurately articulate and document complex legal and contractual principles and balance risk from both a legal and commercial perspective.

Highly responsive with ability to manage high workload volumes and competing priorities efficiently and effectively.

Solution oriented with a focus on exceptional client service.

Experience in a managed services counsel role in a technology or consulting organization with experience leading negotiations.

A bachelor’s degree from an accredited 4‑year college.

Juris Doctor from an accredited law school.

Membership in a State Bar as an attorney qualified to practice law.

Good standing with the applicable State Bar, including being current on individual state Continuing Legal Education requirements.
